01 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Michael Bates Solutions ("we," "us," or "our"). By visiting our website, joining our waitlist, or enrolling in any program, you confirm that you have read, understood, and agree to these Terms.

We reserve the right to update these Terms at any time. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.

02 Our Services

Michael Bates Solutions provides educational programs, coaching, and consulting services for EdTech professionals, including but not limited to:

• The EdTech Impact Accelerator — a paid training and coaching program
• Waitlist and early access programs for upcoming courses
• Educational content, resources, and communications delivered via email and online platforms
• One-on-one and group coaching sessions

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice to enrolled participants.

03 Eligibility

Our services are intended for adults aged 18 and older who are education professionals, EdTech leaders, consultants, or individuals with a professional interest in the EdTech industry. By using our services, you represent that:

• You are at least 18 years of age
• You have the legal authority to enter into this agreement
• The information you provide is accurate and complete

04 Waitlist & Registration

By joining our waitlist, you agree to receive email communications from Michael Bates Solutions regarding program updates, launch announcements, and exclusive offers. Joining the waitlist does not guarantee enrollment in any program and does not constitute a purchase or financial commitment.

• Waitlist placement is first-come, first-served where capacity is limited
• Early-bird pricing and offers are available only to confirmed waitlist members at the time of launch
• You may unsubscribe from waitlist communications at any time via the link in any email

05 Payments & Refunds

Paid program pricing will be announced at the time of enrollment opening. By completing a purchase, you agree to the price and terms presented at checkout.

Refund Policy:

• Full refund available within 14 days of purchase, provided you have not accessed more than 30% of the program content
• No refunds will be issued after 14 days or after 30% or more of the program content has been accessed
• In the event a program is cancelled by Michael Bates Solutions before it begins, a full refund will be issued to all enrolled participants

Customers in jurisdictions with applicable consumer protection laws may have additional refund rights under those laws, and nothing in this section is intended to limit those rights.

06 Intellectual Property

All content provided through Michael Bates Solutions — including course materials, videos, worksheets, frameworks, written content, and branding — is the exclusive intellectual property of Michael Bates Solutions and is protected by applicable copyright and trademark laws.

• You may use program materials for your own personal and professional development only
• You may not reproduce, distribute, resell, or publicly share program content without written permission
• Recording of live sessions is prohibited unless explicitly authorized

Unauthorized use of our intellectual property may result in immediate termination of access without refund and may be subject to legal action.

07 Acceptable Use

You agree to use our services respectfully and professionally. You must not:

• Harass, threaten, or disrespect other participants, coaches, or staff
• Share program access credentials with individuals who have not enrolled
• Use our services for any unlawful purpose or in violation of any applicable regulations
• Attempt to reverse-engineer, scrape, or duplicate our platforms or content
• Misrepresent your identity, credentials, or affiliation

Violation of these conduct standards may result in immediate removal from the program without refund.

08 Disclaimers

Our programs provide education, frameworks, and coaching based on real-world experience. However, we make no guarantees regarding specific outcomes, results, or earnings. Individual results will vary based on effort, background, market conditions, and other factors outside our control.

09 Limitation of Liability

To the maximum extent permitted by law, Michael Bates Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to loss of profits, data, or business opportunities.

Our total liability to you for any claim arising from these Terms or your use of our services shall not exceed the amount you paid to us in the 90 days preceding the claim.

10 Termination

We reserve the right to suspend or terminate your access to our services at any time if you violate these Terms, engage in fraudulent activity, or behave in a manner that is harmful to other participants or to the integrity of our programs.

You may discontinue use of our services at any time. Termination does not affect any rights or obligations that arose prior to termination.

11 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law principles. Any disputes arising from these Terms shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty days, it shall be resolved in the state or federal courts located in the Commonwealth of Pennsylvania, and you consent to the personal jurisdiction of those courts.
